Conflict of Interest Policy
Impact100 of Northwest Florida, Inc. recognizes that many of its members serve and support other non-profit organizations, some of whom might apply for a grant from Impact100. Impact100 expects all of its members to act objectively and fairly in the grant selection policy. Any member of Impact100 who desires to serve on a Focus Area Committee shall disclose potential conflicts of interest to the Board of Directors. If a member serves as an employee or board member of a non-profit organization, that member shall not serve on the committee which will review that organization’s grant application. Impact100 members shall not attempt to gain an unfair advantage for any grant applicant, including but not limited to, “campaigning” for a particular grant applicant or attempting to persuade other members to vote for a particular grant applicant.

Confidentiality
Maintaining confidentiality is the fiduciary responsibility of all Focus Area Committee members. Every committee member must act honestly and put the best interests of Impact100 ahead of their own. Every committee member has a duty of confidentiality. They must not disclose or discuss confidential information about Impact100 matters with another person (including non-board or non-committee members of Impact100), another entity (including nonprofit organizations), the media, or the public, or use it for their own purposes. Committee members, Impact100, or nonprofit organizations may suffer financial or reputational consequences if a board or committee member breaches confidentiality. One component of good governance is complete and candid disclosure of information during committee meetings. When committee members cannot trust each other to keep confidences, it has a negative effect on the governance of Impact100. Impact100 confidential information includes, but is not limited to: 1) committee meeting discussions or votes 2) documents, records, or email created by board members, committee members, or nonprofit organizations 3) member contact or personal information 4) nonprofit information contained in grant applications or disclosed at site visits I have read the above and understand the importance of keeping the matters of Impact100 confidential. I hereby agree not to disclose or discuss Impact100 confidential information with another person, another entity, the media, or the public. I further agree never to use any Impact100 confidential information for my own purposes. The parties agree and consent that this agreement may be electronically signed and that the electronic signatures appearing on this agreement have the same force and effect as written signatures for the purposes of validity, enforceability and admissibility.
